Your access and use of this site are subjected to the following terms and conditions (Terms and Conditions) and all applicable laws. If you continue to browse and use this website, you agree to comply with all the terms and conditions of use, which together with our privacy policy govern Sahajanand Life Sciences Pvt. Ltd.'s relationship with you in relation to this website.

The term 'Sahajanand Life Sciences Pvt. Ltd.', ‘SuAyu’, or 'us' or 'we' refers to the owner of the website whose registered office is Sahajanand Life Sciences Pvt. Ltd., Sahajanand Estate, Wakhariawadi, Nr. Dabholi Char Rasta, Surat, Gujarat - 395004, India. The term 'you' refers to the user or viewer of our website.

Eligibility

The user should have completed 18 years of age and be competent to enter into a contract under Indian contract law. Any user under 18 years of age who is intending to avail of the services of the Website should do so through his or her legal guardian in accordance with applicable law.

If any person is using the Website on behalf of any corporation, company, institution, association, or other entity, the person should be authorized by such corporation, company, institution, association, or other entity to use and access the Website.

SuAyu reserves the right to refuse access to use the services offered at the Website to new users or to terminate access granted to existing users at any time without providing any reasons for doing so.

User Account

The user may browse the Website without registering with SuAyu. The user has to set up an account with the Website before availing of any online services provided through the Website. The user can create an account by entering an email address and password or by using any permitted social media website account to sign in ("Account Information"). The email address provided is not verified by SuAyu, and hence, it is advisable for the user to provide a valid email address. The Website will set up an account and email the details of the account to the user at the email address provided. A user can then access the account on the Website. A user can also create and update an account through Customer Support.

A user can create one user account only, and no user is permitted to transfer or interchange the User Account. The list of user information required to be provided by the user, the manner of usage, protection, and confidentiality of user information and account information are more specifically dealt with under the Website’s Privacy Policy, and the users are requested to read in detail the Privacy Policy before sharing user information or creating an account.

Content and Intellectual Property Rights

The content, text, images, trademarks, logos, and any other marks displayed on the Website ("Marks") are the property of SuAyu or its affiliates, associates, content suppliers, users, or respective third parties. Users are not permitted to use the Marks without the prior consent of SuAyu, its affiliates, associates, content suppliers, users, or the third party that may own the Marks.

You may not copy, modify, publish, transmit, transfer or sell, reproduce, create derivative works from, distribute, perform, display, or in any way exploit any of the Content, in whole or in part, except as is expressly permitted in these terms and conditions.

SuAyu owns all intellectual property rights to and into the trademark "SuAyu," and the Website, including, without limitation, any and all rights, title, interest, copyright, and other related rights.

The users agree that they shall not use or apply for registration of any marks or domain names which are similar to the marks or domain names used in connection with the Website or owned by SuAyu.

No user shall use, copy, reproduce, modify, alter, change, transmit, edit, revise, review, adapt, translate, distribute, perform, display, sell, or otherwise deal with content or the intellectual property rights of the Website or content suppliers or third parties in any mode, medium, or manner now known or developed in the future without authorization from SuAyu. On the happening of any such event, SuAyu reserves the right to immediately discontinue the Website services to such users without prejudice to SuAyu’s right to initiate legal action against such users.

Risk of Loss

All items purchased from SuAyu.in are made pursuant to a shipment contract. This means that the risk of loss and title for such items pass on to you upon the delivery to the carrier by the vendor/merchant/affiliate/manufacturer.

Product Description/Warranties

Suayu.in attempts to be as accurate as possible. However, suayu.in does not warrant that product descriptions or other content or prices/amounts of this site are accurate, complete, reliable, current, or error-free. Original products may vary in shape, size, and display. If a product offered by Suayu.in itself is not as described in terms of (content or quantity), your sole remedy is to return it in unused condition.

Force Majeure

Suayu.in shall have no liability to you for any interruption or delay in access to the Site irrespective of the cause. We are not liable for any breach of our obligations resulting from causes beyond our reasonable control, including riots, natural calamities, and floods.

Indemnity

You agree to indemnify us against any claim or demand, including reasonable lawyer’s fees, made by any third party due to or arising in any way out of your use of our Website, or the infringement by you, or by any other person using your computer, of any intellectual property or other rights of any person.

Severability

To the extent that anything in or associated with the Site or the Company is in conflict or inconsistent with this Condition of Use, these Terms & Conditions shall take precedence.

Should any part of these terms and conditions be held invalid or unenforceable, that portion shall be construed consistent with applicable law as nearly as possible to reflect the original intentions of the parties, and the remaining portions shall remain in full force and effect.

Failure of the Company to enforce any provision of these Terms & Conditions shall not be deemed a waiver of such provision nor of the right to enforce such provision.

Limitation of Liability

Under no circumstances shall we be liable for any losses or damages whatsoever, whether in contract, tort, or otherwise, from the use of, or reliance on, the material, or from the use of the Internet generally.

Your use and browsing of the Site are at your risk. You should not rely on any of the material and instead should seek other opinions before taking any action or determining not to take any action, which could lead to injury, harm, or damage of any kind. Please do not rely upon information provided on this website as "medical advice." This website is not a substitute for a doctor or medical consultancy of any sort. For purposes of this section, "we" shall include Suayu.in and its subsidiaries, successors, shareholders, and their respective employees, partners, principals, agents, and representatives, and any third-party providers or sources of information or data.

Limitation of Remedy

If you are damaged or injured by any of the material contained on the Site, or you are dissatisfied with the Site or material for any reason, then your sole and exclusive remedy is to discontinue accessing and using the Site.

Suspension Due To Non-Compliance with Agreement

Notwithstanding other legal remedies that may be available to Suayu.in, Suayu.in may in its sole discretion limit user activity by immediately removing user listings either temporarily or indefinitely or suspend or terminate user membership, and/or refuse to provide the user with access to the Site if:

• The user is in breach of any of the terms and conditions of this agreement and/or the terms and conditions of usage of Suayu.in;

• The user has provided wrong, inaccurate, incomplete, or incorrect information;

• Your actions may cause any harm, damage, or loss to the other users or Suayu.in.

Illegal and/or unauthorized use of the service, including unauthorized framing of or linking to the Suayu.in site, will be investigated, and appropriate legal action will be taken, including, without limitation, civil, criminal, and injunctive redress.

Governing Law Your use of this website and any dispute arising out of such use of the website are subject to the laws of India or other regulatory authority subject to jurisdiction at Surat, Gujarat. This is the entire agreement between the parties relating to the matters contained herein.

Security and Safety 

The Internet is a new medium for shopping, and like any new technology, there is an element of concern regarding credit card security over the Internet. At www.Suayu.in, we do not collect/store credit/debit card information on our server.

Users are redirected to a secure Bill Desk web page to provide their credit card/debit card/net banking/UPI details for the transaction. The security is handled by independent third parties who certify that the information is correctly encrypted and secure. A window will appear on your browser notifying you when you enter and leave the secure environment. Upon processing a successful transaction, a confirmation email will be sent to the email address supplied with the details of your order.

Please note we DO NOT allow the collection/storage of credit card/debit card or any of your sensitive financial details on our server.

Social Login

By using the Social login feature at www.Suayu.in, you allow www.Suayu.in, and the respective social network to use your information in accordance with their respective terms of service and privacy policies. You may change this and other account permissions at any point in time.

The home remedies given on the Site are based on the therapeutic usage of culinary herbs. These can be taken for minor ailments but are in no way a substitute for a physician’s diagnosis. Although these remedies are generally safe for the public and usually have no side effects, SuAyu advises that these be practiced/taken at the user's sole discretion.

Although every effort is made to ensure the accuracy of products, prices, or any other information displayed on the website, the scope of error cannot be ruled out due to any reasons. We reserve the right to correct any errors or inaccuracies at any time. Any inconvenience caused is regretted.

To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the service, any errors in such information, and/or any action you may or may not take in reliance on the information or Service.

Arbitration and Class Action Waiver Agreement:

1. Arbitration:

By using or purchasing SuAyu products or services, you agree that any controversy, claim, action, or dispute between you and SuAyu arising out of or relating to: (a) these Terms, or the breach thereof; or (b) your access to or use of SuAyu website or the services or the materials; or (c) any alleged violation of any federal or state or local law, statute or ordinance (each such controversy or claim, a “Claim”), shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association in accordance with its applicable rules.

Arbitration is a form of dispute resolution in which parties agree to submit their disputes and potential disputes to a neutral third person (called an arbitrator) for a binding decision, instead of having such dispute(s) decided in a lawsuit, in court, by a judge or jury trial. The arbitrator is obligated to issue a reasoned award in writing, including all findings of fact and law upon which the award was made. The arbitrator shall not have the power to commit errors of law, and the arbitrator’s award may be vacated or corrected through judicial review by a court of competent jurisdiction. Each party’s attorneys’ fees, expert costs, and other costs and expenses incurred in connection with arbitration will be borne by the party incurring such costs and expenses.  

  1. Arbitration Procedures:

Claims shall be heard by a single arbitrator. Arbitrations shall be held in India, Gujrat but the parties may choose whether to appear in person, by phone, or through the submission of documents.  The arbitration shall be governed by the Federal Arbitration Act (“FAA”) and by the internal laws of the Gujrat , without regard to conflicts of laws principles. Any disputes in this regard shall be resolved exclusively by an arbitrator. If, but only if, the arbitrator determines the FAA does not apply, New York law governing arbitration agreements will apply. All disputes with respect to whether the foregoing mutual arbitration provisions are unenforceable, unconscionable, applicable, valid, void or voidable shall be determined exclusively by an arbitrator, and not by any court.

  2. Exclusion from Arbitration:

Notwithstanding the terms of this Arbitration Agreement, you may choose to pursue a Claim in court and not by arbitration if you opt-out of these arbitration procedures within 30 days from the date that you first purchase any of  SuAyu’s products or services (the “Opt-Out Deadline”). You may opt out by mailing a written notification to  SuAyu.  Your written notification must include (1) your name, (2) your address, and (3) a clear statement that you do not wish to resolve disputes through arbitration. Your decision to opt-out will have no adverse effect on your relationship with SuAyu. You are responsible for ensuring SuAyu’s receipt of your opt-out notice, and you therefore may wish to send a notice by means that provide a written receipt.  Any opt-out request received after the Opt-Out Deadline will not be valid and you must pursue your Claim in arbitration.

2. Class Action Waiver:

You and SuAyu agree that you may bring or participate in Claims against SuAyu only in your respective individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.  Unless both you and SuAyu agree otherwise in writing, the arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated and may not otherwise preside over any form of a representative or class proceeding. Notwithstanding any other clause contained in this Agreement, any Claim that all or part of this Class Action Waiver is unenforceable, unconscionable, void or voidable may be determined only by a court of competent jurisdiction and not by an arbitrator.
